Vendor & Media Partner Terms

These Vendor and Media Partner Terms ("Partner Terms") govern all commercial relationships between The Loyalty People Ltd ("TLP," "we," "us," or "our") and vendors, technology providers, agencies, consultancies, and other commercial organisations ("Partner," "you," or "your") participating in the TLP Partner Programme, or engaging TLP for individual campaign activities on an ad hoc basis.

These Partner Terms apply in addition to TLP's general Terms and Conditions (theloyaltypeople.global/terms) and should be read alongside them. In the event of any conflict, these Partner Terms take precedence in respect of commercial partner relationships. By entering into a TLP Partner Programme agreement, purchasing Amp bundles, or engaging TLP for any commercial campaign activity, you confirm acceptance of these Partner Terms.

TLP provides visibility, connection, and engagement opportunities but does not guarantee commercial outcomes.

1. The TLP Partner Programme

1.1 Tier-Based Presence

Partner tiers provide ongoing ecosystem presence across TLP's platform, including TLP Collective, the TLP Partner Directory, and associated content channels. Unless otherwise agreed in writing, all Partner Programme arrangements carry a minimum initial term of three calendar months. The current tier structure is as follows:

Tier fees are invoiced monthly in advance. Amps are included for Partners committing to 6 or 12 months only and are not included on monthly rolling arrangements.

1.2 Amps: Campaign Activation Currency

Amps are TLP's internal campaign currency enabling Partners to activate specific media and content activities on demand. Amps are not transferable, not redeemable for cash, and have no monetary value outside the TLP platform. The current Amp cost schedule is as follows:

TLP reserves the right to adjust Amp costs with no less than 30 days' written notice. Amps already purchased or included under an existing commitment will be honoured at the rates applicable at the time of purchase.

1.3 Amp Bundles

Partners may purchase Amp bundles at volume-discounted rates:

Included monthly Amps do not roll over from one month to the next. TLP may, at its discretion, allow limited carry-over in exceptional cases. Purchased Amp bundle credits carry forward while the Partner relationship remains active. On termination, all unused Amps are forfeited unless otherwise agreed in writing.

1.4 Ad Hoc Campaign Access

Vendors not enrolled in the Partner Programme may engage TLP for individual campaign activities on an ad hoc basis. Ad hoc campaigns are subject to a minimum set-up fee of £500 per campaign (confirmed in writing at briefing), payable in addition to the applicable Amp cost. This fee is non-refundable once the campaign brief has been accepted. Ad hoc vendors are not entitled to directory listings, community presence, included Amps, bundle pricing, or any other Partner Programme benefits.

2. Editorial Independence and Content Standards

TLP-authored content is always TLP-authored. Vendor-written content is always clearly identified as such. These two categories are never merged, blended, or misrepresented. This is a hard policy with no exceptions.

2.1 The Four Content Integration Models

Model A — TLP-Authored, Partner-Featured. TLP writes and publishes original content featuring the Partner's brand or perspective. Final editorial control rests entirely with TLP. Default model for web editorial articles and LinkedIn amplification.

Model B — Partner-Submitted, TLP-Reviewed. The Partner provides copy which TLP reviews and may edit before publication. Content is clearly labelled as Sponsored Content or Partner Content at all times. TLP retains the right to decline or request revision of any submission.

Model C — Co-Created. TLP and the Partner collaborate on content development. Co-created content carries appropriate attribution and is clearly distinguished from independent editorial content.

Model D — Partner-Controlled (Advertising). The Partner provides final creative assets for a designated advertising or sponsored slot. The placement is clearly labelled as Advertising or Sponsored at all times, visually separated from TLP editorial content.

2.2 Prohibited Practices

  • Presenting vendor-written content as TLP-authored editorial without clear labelling
  • Requesting removal of sponsorship or advertising labels from paid content placements
  • Making claims in TLP-published content that TLP has not independently verified or approved
  • Using TLP's name, brand, or logo to imply endorsement beyond what TLP has explicitly agreed to in writing
  • Republishing TLP-authored content with alterations that misrepresent TLP's position or voice
  • Referencing TLP's audience metrics or engagement data in external marketing without prior written approval

2.3 Factual Accuracy

Partners are responsible for the accuracy of all factual claims, statistics, and case study data provided to TLP. TLP does not publish invented statistics, unattributed benchmarks, or forward-looking performance guarantees on behalf of Partners.

3. Partner Directory

3.1 Listing Eligibility

Non-Partner vendors may be listed in the TLP Partner Directory with a basic logo entry only. Active Partners receive an enhanced profile including contact links, website description, and featured positioning.

3.2 Profile Content

Partners are responsible for providing accurate, current profile information. TLP reserves the right to edit or remove content that is inaccurate, misleading, or inconsistent with TLP's platform standards.

3.3 No Endorsement

Inclusion in the TLP Partner Directory does not constitute a TLP recommendation, endorsement, or guarantee of any Partner's products, services, or commercial claims, unless TLP has explicitly stated otherwise in writing.

4. TLP Collective Community Access

4.1 Community Memberships

Partner tiers include a specified number of TLP Collective community memberships (Foundation: 1, Growth: 3, Strategic: 5). These memberships are for named individuals within the Partner organisation only.

Community memberships are tied directly to the active Partner Programme subscription. If the Programme is cancelled or terminated for any reason, all associated community memberships will be deactivated immediately. Partner representatives will lose access to TLP Collective at that point unless they take up an individual paid membership at the prevailing rate.

4.2 Community Conduct

  • Partners must declare their commercial relationship with TLP when sharing perspectives that could be construed as vendor advocacy
  • Partners may not use community membership to conduct unsolicited commercial outreach to other members
  • Promoted posts within TLP Collective must be booked via Amps and clearly identified as Partner content
  • Partners may not use community access to recruit or commercially approach individual members without TLP's prior written consent

5. Campaign Booking and Delivery

5.1 Booking Process

Campaign activities are booked by the Partner confirming the activity type, Amp cost, and relevant brief or assets to TLP. Booking constitutes the deduction of the applicable Amp cost from the Partner's available Amp balance.

5.2 Indicative Lead Times

  • Community promoted post: 5 business days
  • Web editorial article (TLP-authored): 10 business days
  • LinkedIn amplification: 5 business days
  • TLP Signals newsletter feature: 10 business days
  • Roundtable event: 20 business days
  • Member email feature: 10 business days
  • Full webinar campaign: 30 business days

These are indicative timelines only and may vary depending on editorial scheduling or mutual agreement. TLP will communicate any delays promptly.

5.3 Partner Obligations

Partners are responsible for providing accurate, complete, and timely briefing materials and assets. For Model B and Model D content, the Partner warrants that all submitted copy and creative assets are accurate, lawful, free of third-party intellectual property infringement, and compliant with all applicable advertising standards including the UK CAP Code.

5.4 TLP's Right to Decline or Modify

TLP reserves the right to decline, delay, or request modification of any campaign activity if it determines, in its reasonable discretion, that the content or brief does not meet these Partner Terms or TLP's editorial standards. If no resolution is possible, the Amps for the relevant activity will be credited back to the Partner's balance.

5.5 Performance Data and Outcomes

TLP may provide campaign performance data at its discretion following completion of individual Amp activities. No regular or scheduled reporting cadence is guaranteed.

TLP provides visibility, connection, and engagement opportunities but does not guarantee commercial outcomes. TLP does not guarantee response, engagement, or participation from other members or organisations. Partner investment decisions should not be made on the basis of anticipated lead volumes or specific commercial outcomes.

5.6 Partner Engagement

The TLP Partner Programme works best when Partners actively engage with the platform — contributing to content, participating in events, and being present within TLP Collective. Passive presence alone is unlikely to deliver meaningful outcomes.

6. Fees, Invoicing, and Payment

6.1 Tier Fees

Partner tier fees are invoiced monthly in advance, payable within 30 days of the invoice date.

6.2 Amp Bundle Purchases

Amp bundle purchases are invoiced at the time of purchase, payable within 14 days. Amps are credited on receipt of cleared payment.

6.3 Ad Hoc Set-Up Fee

The minimum £500 ad hoc set-up fee is invoiced at the time the campaign brief is accepted, payable within 14 days. The applicable Amp cost is invoiced separately. Both are non-refundable once the brief has been accepted.

6.4 Late Payment

TLP reserves the right to charge statutory interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998, currently 8% per annum above the Bank of England base rate. TLP may suspend campaign delivery or platform access for Partners with invoices more than 30 days overdue.

6.5 VAT

All fees quoted are exclusive of VAT, which will be charged at the applicable rate and shown separately on all invoices.

6.6 Refund Policy

Tier fees are non-refundable once a billing period has commenced, except where TLP has materially failed to provide the platform presence described in the relevant tier. Amp bundles are non-refundable once purchased, except where TLP has permanently discontinued the platform or the relevant campaign activity type.

7. Term and Termination

7.1 Minimum Term

Unless otherwise agreed in writing, all Partner Programme arrangements carry a minimum initial term of three calendar months, commencing on the date the first invoice is issued.

7.2 Monthly Rolling Partners (Post Minimum Term)

Following the minimum term, monthly rolling Partners continue until terminated by either party with no less than 30 days' written notice, provided before the next billing period commences.

7.3 Committed Partners (6 or 12 months)

Partners on a committed term agree to pay the full term fee for the committed period. Early termination by the Partner does not entitle the Partner to a refund unless TLP has materially breached these Partner Terms and failed to remedy that breach within 30 days of written notice.

7.4 Termination by TLP

TLP may terminate immediately on written notice if the Partner has materially breached these Partner Terms and failed to remedy it within 14 days; engaged in conduct harmful to TLP's reputation, community, or audience; or become insolvent, entered administration, or ceased to trade.

7.5 Post-Termination

On termination, TLP will remove the Partner's enhanced directory listing and active campaign placements. All associated TLP Collective community memberships will be deactivated immediately. TLP-authored content produced during the relationship may remain published on TLP's platform at TLP's discretion.

8. Intellectual Property

8.1 TLP Content

All content authored by TLP under Model A or Model C remains the intellectual property of The Loyalty People Ltd. Partners are granted a non-exclusive, royalty-free licence to share, link to, and reference such content for marketing purposes, provided TLP is clearly attributed. Partners may not alter, rebrand, or reproduce TLP-authored content without prior written permission.

8.2 Partner Content

Content provided under Model B or Model D remains the intellectual property of the Partner. By submitting content, the Partner grants TLP a non-exclusive, royalty-free licence to publish, format, distribute, and share that content across TLP's channels for the purposes of the agreed campaign activity.

8.3 Brand Assets

Partners grant TLP a limited licence to use their name, logo, and brand assets for the purposes of the Partner Programme. TLP's name, logo, and brand assets may not be used by Partners in any external marketing or press material without TLP's prior written permission in each instance.

9. Confidentiality

Both parties agree to keep confidential any commercially sensitive information shared in the course of the Partner relationship, including pricing, audience data, and strategic plans, and to use such information only for the purposes of the Partner Programme. This obligation does not apply to information that is or becomes publicly available through no breach of this clause, or that is required to be disclosed by law.

10. Representations, Warranties, and Liability

10.1 Partner Warranties

The Partner warrants that it has full authority to enter into these Partner Terms; all content, data, and assets provided are accurate, lawful, and do not infringe any third-party rights; it will comply with all applicable laws and advertising standards including the UK CAP Code; and it will not use TLP's platform or TLP Collective for any unlawful or harmful commercial activity.

10.2 Limitation of Liability

TLP's aggregate liability to the Partner under or in connection with these Partner Terms shall not exceed the total fees paid by the Partner to TLP in the three calendar months immediately preceding the event giving rise to the claim. TLP is not liable for any indirect, consequential, incidental, special, or punitive loss, including loss of anticipated revenue, business opportunity, data, or reputation. TLP provides its platform and services on an "as available" basis and does not warrant that any channel will be continuously available or free from technical interruption.

10.3 Force Majeure

TLP shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, government action, failure of third-party platforms or infrastructure, or industrial action.

11. Governing Law and Jurisdiction

These Partner Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Partner Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Prior to initiating formal proceedings, the parties agree to attempt resolution through good faith negotiation within 14 days of written notice of a dispute.

12. Changes to These Partner Terms

TLP may update these Partner Terms from time to time. Material changes will be communicated to active Partners in writing no less than 30 days before they take effect. The latest version will always be available at theloyaltypeople.global/partner-terms.
